1. Introduction
These Terms and Conditions ("T&C") are a legal agreement between you, the business owner or individual ("Client"), and Magnet Virtual Assistants ("Magnet VA," "we," "us," or "our"). By using our virtual assistant services, you agree to be bound by these T&C, as well as our Privacy Policy. Please read these terms carefully before using our services.
2. Services Offered
Magnet VA offers virtual assistant services provided by mindset-driven virtual assistants to help business owners with various administrative and operational tasks. Our services may include but are not limited to administrative support, scheduling, email management, content creation, and other tasks as agreed upon.
3. Service Engagement
3.1 Service Request: Clients may request services through our website, email, or other communication channels. Each request should detail the scope, timeline, and any specific requirements.
3.2 Service Acceptance: Magnet VA reserves the right to accept or decline any service request. Acceptance will be communicated to the Client through the preferred communication channel.
4. Payment Terms
4.1 Pricing: Pricing for our virtual assistant services will be determined based on the type of service and complexity. Clients will receive a price quote upon service request.
4.2 Payment: Clients are required to make payments as per the agreed payment schedule. Payment can be made through our designated payment methods.
4.3 Refunds: Refunds, if applicable, will be processed as per our Refund Policy.
5. Confidentiality
Magnet VA and its virtual assistants will treat all information provided by the Client with the utmost confidentiality. We will not disclose, share, or use any confidential information for any purpose other than the agreed services.
6. Communication
Effective and regular communication is essential for successful collaboration. Clients and Magnet VA should maintain clear and responsive communication channels to ensure tasks are performed efficiently.
7. Termination
7.1 Termination by Either Party: Either party, the Client or Magnet VA, may terminate the service engagement with a 30-day written notice. This written notice should be sent via email or through the designated communication channels as agreed upon. The notice period allows both parties to wrap up ongoing tasks and transition responsibilities smoothly.
7.2 Immediate Termination: Magnet VA reserves the right to terminate services immediately in the following situations:
a. Breach of Terms: If the Client breaches any part of these Terms and Conditions, including non-payment, non-cooperation, or any other violation of the agreed-upon terms, Magnet VA reserves the right to terminate the services without notice.
b. Client's Insolvency or Bankruptcy: If the Client becomes insolvent, declares bankruptcy, or enters into any form of liquidation or receivership, Magnet VA may terminate the services immediately.
c. Unlawful or Unethical Activities: If the Client requests Magnet VA to engage in any unlawful or unethical activities, Magnet VA may terminate the services immediately.
7.3 Outstanding Payments: Upon termination, the Client must settle any outstanding payments for services rendered by Magnet VA. Failure to do so may result in legal action to recover the outstanding dues.
7.4 Return of Materials: After termination, Magnet VA will return any materials, documents, or information provided by the Client during the course of the service engagement. Likewise, the Client should return any materials or resources provided by Magnet VA.
7.5 Client's Data: Magnet VA will retain copies of any data or information provided by the Client for a period of 30 days following the termination of services. After this period, Magnet VA will securely delete or destroy any such data unless otherwise agreed upon with the Client.
7.6 Client's Responsibility After Termination: Upon termination, the Client is responsible for making any necessary arrangements for the continuity of tasks and responsibilities performed by Magnet VA. This includes, but is not limited to, training a replacement or ensuring a smooth transition.
8. Intellectual Property
All work created by Magnet VA's virtual assistants remains the property of the Client. Magnet VA shall not claim any rights to the Client's intellectual property.
9. Limitation of Liability
Magnet VA and its virtual assistants are not liable for any direct or indirect damages, including but not limited to financial losses, arising from the use of our services.
10. Governing Law
These T&C shall be governed by and construed in accordance with the laws of the [Jurisdiction] without regard to its conflict of law principles.
11. Changes to Terms and Conditions
Magnet VA reserves the right to modify these T&C at any time. Clients will be notified of such changes, and the updated T&C will be posted on our website.
12. Disclaimer of Liability
Magnet VA and its virtual assistants provide their services with the intention of delivering high-quality assistance to our Clients. However, it is important to understand and acknowledge the following:
12.1 No Guarantees: Magnet VA does not guarantee the success or outcome of any task or project undertaken. Results may vary based on a variety of factors, and we do not accept liability for the results of services provided.
12.2 Third-Party Services: If we recommend or provide third-party services, tools, or resources, Magnet VA does not assume liability for the performance, reliability, or outcomes associated with such third-party entities.
12.3 Loss of Data or Information: While we take utmost care in handling information, Magnet VA is not responsible for any loss, corruption, or unauthorized access to data or information provided by the Client during the course of our services.
12.4 Limitation of Liability: In no event shall Magnet VA or its virtual assistants be liable for any direct, indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising out of the use of our services.
12.5 Client's Responsibility: Clients are responsible for verifying the accuracy of work completed by Magnet VA, and for any decisions, actions, or consequences that result from our services. It is essential for Clients to review, confirm, and make the final judgment on the work we provide.
12.6 Indemnification: Clients agree to indemnify and hold Magnet VA and its virtual assistants harmless from any claims, losses, liabilities, damages, or expenses, including legal fees, arising out of or related to the use of our services.
